This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you", "your", or "End User") and STAAU DİJİTAL TASARIM SAN TİC LTD ŞTİ ("STAAU", "we", "us", "our", or "Licensor") governing your use of the Practune mobile application ("Practune", the "App", or the "Licensed Application").
By downloading, installing, accessing, purchasing a subscription to, or using Practune, you agree to be bound by this Agreement.
If you do not agree to this Agreement, do not download, install, access, or use Practune.
You and STAAU acknowledge that this Agreement is concluded between you and STAAU only, and not with Apple Inc. ("Apple").
STAAU, and not Apple, is solely responsible for Practune and its content, subject to the terms of this Agreement.
This Agreement is not intended to provide usage rules that conflict with the Apple Media Services Terms and Conditions or other applicable Apple usage rules.
Practune is a music practice and rehearsal application designed to help users work with audio and supported media more efficiently.
Practune may provide features including:
Features may vary by device, operating system, subscription status, country, region, or application version.
Subject to your compliance with this Agreement, STAAU grants you a limited, personal, revocable, non-exclusive, and non-transferable license to use Practune.
For Practune downloaded through the Apple App Store, this license permits you to use the Licensed Application on Apple-branded products that you own or control, as permitted by the applicable Usage Rules contained in the Apple Media Services Terms and Conditions.
Practune may also be accessed through accounts associated with the purchaser where permitted by Apple, including applicable Family Sharing or volume purchasing functionality.
Practune is licensed to you, not sold.
STAAU reserves all rights not expressly granted under this Agreement.
Practune may allow you to select and play audio files stored on your device.
Depending on your device and operating system, supported formats may include:
You are solely responsible for ensuring that you have the legal right to access and use any audio file that you open, import, or use through Practune.
Practune does not grant you any ownership rights, copyright licenses, or other intellectual property rights relating to music, sound recordings, compositions, videos, or other content that you use with the App.
You must not use Practune to infringe copyrights or other intellectual property rights.
Practune may allow supported YouTube links or other third-party content to be accessed through authorized or officially supported playback systems.
Practune does not provide functionality intended to:
Your use of YouTube is also subject to applicable Google and YouTube terms, policies, and privacy practices.
You agree to comply with all applicable third-party terms when using third-party services through Practune.
STAAU is not responsible for the availability, accuracy, content, policies, or operation of third-party services.
You retain any rights that you already possess in content that you lawfully use with Practune.
STAAU does not claim ownership of your local audio files.
Practice information created through the App may include:
Your use of Practune does not transfer ownership of third-party music or other copyrighted material to you or to STAAU.
Practune may offer automatically renewing subscription plans, including:
Available plans, pricing, features, and subscription periods may vary by region and may change over time.
The applicable price and subscription period will be shown to you before purchase.
Practune Pro may provide access to additional features or remove limitations present in the free version.
Practune Pro subscriptions are auto-renewable subscriptions.
Unless cancelled, your subscription will automatically renew at the end of each subscription period in accordance with the rules of the platform through which the subscription was purchased.
For purchases made through the Apple App Store:
STAAU does not directly process or store your complete payment card information for purchases processed through the Apple App Store.
You may cancel an auto-renewable subscription through the subscription management controls provided by the platform through which you purchased the subscription.
For purchases through Apple, subscriptions can be managed through your Apple Account settings.
Deleting Practune from your device does not automatically cancel an active subscription.
Cancellation normally prevents future renewal and does not necessarily result in a refund for the current subscription period.
Refund requests and eligibility are subject to the policies of the platform through which the purchase was made and applicable law.
Practune may offer both free and paid functionality.
The free version may contain limitations, including limitations relating to:
Practune Pro may remove certain limits or provide additional features.
The current features included with Practune Pro will be displayed in the App before purchase.
We may improve, modify, replace, add, or discontinue particular functionality where reasonably necessary, subject to applicable consumer rights.
Some Practune features may be available without creating an account.
Other features, including synchronization, subscription-related functionality, backups, or future cloud services, may require an account or platform authentication.
You are responsible for maintaining the confidentiality of credentials associated with your account.
You are responsible for activity carried out through your account to the extent permitted by applicable law.
You agree not to use Practune:
STAAU may restrict or terminate access where reasonably necessary to protect Practune, its users, third parties, or applicable legal rights.
Practune, including its:
is owned by or licensed to STAAU and is protected by applicable intellectual property laws.
Except for the limited license expressly granted under this Agreement, no ownership or intellectual property rights in Practune are transferred to you.
Your use of Practune is also subject to the Practune Privacy Policy.

The Privacy Policy explains how information may be collected, used, stored, and otherwise processed in connection with Practune.
STAAU is solely responsible for providing maintenance and support for Practune as required under applicable law or this Agreement.
Apple has no obligation to provide maintenance or support services for Practune.

Practune is provided subject to any warranties that cannot legally be excluded under applicable law.
To the maximum extent permitted by law, Practune is otherwise provided on an "as is" and "as available" basis.
STAAU does not guarantee that:
If Practune fails to conform to an applicable warranty in connection with an Apple App Store purchase, you may notify Apple and Apple may refund the applicable purchase price, if any, in accordance with Apple's applicable policies.
To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to Practune.
STAAU, and not Apple, is responsible for addressing claims relating to Practune or your possession and/or use of Practune, including but not limited to:
Nothing in this Agreement limits rights that cannot lawfully be excluded.
If a third party claims that Practune or your possession and use of Practune infringes that third party's intellectual property rights, STAAU, and not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claim to the extent required by applicable law.
Practune may interact with services provided by third parties.
These may include services operated by:
Your use of those services may be subject to separate terms, agreements, and privacy policies.
You agree to comply with applicable third-party terms when using Practune.
Certain Practune features may depend on:
STAAU cannot guarantee uninterrupted availability of services controlled by third parties.
Third-party services may change, restrict, suspend, or discontinue functionality independently of STAAU.
STAAU may update Practune to:
Some updates may be required for continued use of certain features.
This Agreement remains effective until terminated.
Your rights under this Agreement may terminate if you materially fail to comply with its terms.
Upon termination, you must stop using Practune where legally required.
Termination does not affect provisions, obligations, or rights that by their nature should survive termination.
To the maximum extent permitted by applicable law, STAAU will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use or inability to use Practune.
This includes, where legally permitted, losses resulting from:
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
Applicable consumer protection laws may provide you with additional rights.
You represent and warrant that:
You must use Practune in compliance with all applicable laws and regulations.
You agree not to use, export, re-export, transfer, or otherwise make Practune available in violation of applicable export control, sanctions, or trade laws.
You and STAAU acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement.
Upon your acceptance of this Agreement, Apple will have the right, and will be deemed to have accepted the right, to enforce this Agreement against you as a third-party beneficiary.
To the extent permitted by applicable law, this Agreement shall be governed by the laws of the Republic of Türkiye.
STAAU is established in Ankara, Türkiye.
Nothing in this Agreement removes or limits mandatory consumer protection rights that may apply to you under the laws of your country or region.
Where applicable consumer law provides you with mandatory rights or jurisdiction, those rights remain unaffected.
If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect to the maximum extent permitted by law.
This Agreement, together with:
constitutes the agreement between you and STAAU concerning your licensed use of Practune.
STAAU may update this Agreement from time to time when reasonably necessary due to:
The latest version may be made available through Practune, our website, or the applicable App Store listing.
The "Last Updated" date at the beginning of this Agreement indicates when it was most recently revised.
Continued use of Practune following an applicable update may constitute acceptance of the revised Agreement where permitted by law.
